• Meet agreed-upon deadlines to ensure smooth progress of services.
• Pay all fees associated with the services rendered in a timely manner.

4. Payments and Fees

Fees for services rendered will be outlined in the Service Agreement. Payments must be made in accordance with the specified payment terms, which may include upfront fees, milestone payments, or a retainer structure. Late payments may incur additional charges as outlined in the Service Agreement.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of engagement with Jorvian. This includes data, reports, business strategies, and other sensitive information pertaining to your business. Disclosure of confidential information to third parties requires prior written consent from the disclosing party.

6. Intellectual Property

All materials, methodologies, and tools developed by Jorvian in the course of providing consulting services remain the intellectual property of Jorvian. No ownership rights will be transferred to the client unless explicitly stated in the Service Agreement. Clients are granted a limited, non-exclusive license to use the deliverables solely for their internal business purposes.

7. Limitation of Liability

Jorvian will provide its services with reasonable skill and care. However, Jorvian cannot guarantee the outcome of the consulting services. In no event shall Jorvian be liable for any indirect, incidental, or consequential damages arising from the use of its services or the inability to access the services.

8. Termination

EITHER party may terminate the Service Agreement upon written notice if the other party breaches any material term of the agreement and fails to cure such breach within a specified period. Upon termination, clients shall pay for all services rendered up to the termination date.

9. Modifications to Terms

Jorvian reserves the right to modify these Terms of Service at any time. Any changes will become effective as soon as they are posted on our website. Your continued use of the services after any changes indicates your acceptance of the new terms. It is your responsibility to review these Terms periodically for updates.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Jorvian is located, without regard to its conflict of law principles. Any disputes arising under or in connection with these terms will be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.

11. Dispute Resolution

In the event of any dispute arising out of or related to these Terms or the services provided by Jorvian, the parties agree to attempt in good faith to resolve the dispute through negotiation. If negotiations fail, the parties may pursue mediation or arbitration at their discretion before resorting to litigation.

12. Force Majeure

Neither party shall be liable for any failure to perform its obligations under these Terms of Service if such failure results from any cause beyond that party’s reasonable control, including, but not limited to, mechanical, electronic, or communications failure or degradation.

13. General Provisions

These Terms of Service constitute the entire agreement between you and Jorvian regarding the services provided. If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. No waiver of any term of these terms shall be deemed a further or continuing waiver of such term or any other term.
